MODULE_07 // TERMS_OF_SERVICE
TERMS OF SERVICE
FOUST BROTHERS LLC — EFFECTIVE JUNE 1, 2026
01 // PARTIES & AGREEMENT
This Agreement is between Foust Brothers LLC ("Developer") and the client ("Client"). By submitting a work order or engaging our services, you agree to these terms.
02 // PAYMENT STRUCTURE
All projects require a 35% non-refundable deposit before work begins. The remaining 65% is due upon project delivery, before final files or access credentials are transferred. Invoices are NET-30 unless otherwise agreed in writing.
03 // PROJECT SCOPE
Work is performed according to the agreed-upon scope of work. Any additions or changes to the scope will be re-quoted and must be approved in writing before additional work begins. Clients will never be billed for scope changes without prior written approval.
04 // HOSTING & DOMAIN
Monthly hosting/maintenance fees cover server infrastructure and security. Content updates, design changes, or new features are excluded and billed at the Standard Shop Rate ($20/hr, 1 hr minimum). The Client is responsible for direct costs of domain registration and third-party email services.
05 // REVISIONS & SCOPE CHANGES
Any changes to the agreed-upon project scope will be communicated and re-quoted before additional work begins. Clients will never be charged for scope changes without prior written approval.
06 // INTELLECTUAL PROPERTY & HANDOFF
Upon receipt of final payment, full ownership and intellectual property rights to the final website content are transferred to the Client. The Developer maintains ownership of pre-existing proprietary tools. The Developer retains the right to display completed work in portfolios and marketing materials.
07 // POST-LAUNCH WARRANTY
The Developer provides a 30-day post-launch warranty exclusively for the correction of technical bugs or errors related to the original scope of work. New features or content changes during this window will be billed at the Standard Shop Rate.
08 // CLIENT RESPONSIBILITIES
The Client must provide assets and feedback within 7 business days of a request. If a project stalls for more than 30 days due to Client inaction, the Developer reserves the right to terminate the project and bill for all labor completed. The Client warrants that all provided assets are legally owned.
09 // CONFIDENTIALITY
Both parties agree to maintain the confidentiality of sensitive business information, proprietary data, and trade secrets disclosed during the project. This protection survives the termination of this Agreement.
10 // LIMITATION OF LIABILITY
Total financial liability under this Agreement shall not exceed the total amount paid by the Client for the project. The Developer is not liable for service interruptions caused by third-party infrastructure failures or Acts of God.
11 // TERMINATION
Either party may terminate a project engagement with written notice. The Client is responsible for payment of all work completed up to the termination date. The 35% deposit is non-refundable.
12 // DISPUTE RESOLUTION & GOVERNING LAW
This Agreement is governed by the laws of North Carolina. In the event of a dispute, the parties agree to first attempt resolution through good-faith mediation. If unresolved, disputes shall be settled through binding arbitration in Rockingham County, NC.
